COMPANY FORMATION (GUERNSEY)

We can form Guernsey companies in accordance with your requirements. We can also deal with the Guernsey Registry on your behalf. We will handle any additional information requested by the Registry and liaise with you accordingly.

DIRECTOR(S)

We are able to provide Directors based in this office who can act for your company. Directors will expect to attend and vote at board meetings and to participate in the management of the company.

NOMINEE SHAREHOLDERS

We can provide nominee shareholders if required.

Nominee shareholders own shares on behalf of other individuals or entities.

COMPANY SECRETARY

We can provide for the engagement of a Company Secretary to suit the circumstances of your company.

COMPANY SECRETARIAL SERVICES

Many of our clients prefer that their share register, minute book and other statutory records are maintained by us on behalf of the Directors or Company Secretary.

RESIDENT AGENT / REGISTERED OFFICE

A Guernsey company requires a Guernsey Agent for service of legal documents. If a Guernsey company has no Guernsey resident Directors, we can provide this Agent if required. We can also provide registered office services if necessary.

ANNUAL VALIDATION

We complete annual validation for most client companies on-line. We prepare for annual validations in advance to ensure submission and payment deadlines are met.

Where audit exemption is claimed, we will ensure the filings are made with the Registry.

ESTABLISHMENT OF BANKING RELATIONSHIP

If required for the conduct of the company’s business, we will endeavour to establish a banking relationship with the bank of your choice.
